MASTER SERVICE AGREEMENT

AND: Business Name, Business Address

Key Terms

Term: November 1, 2025 - Indefinite unless terminated per Section 12

Insurance: $2,000,000 general liability required. Going Yard must be Additional Insured within 90 days.

Payment: Within 35 days of monthly invoice receipt.

Documentation: Before/after photos required within 24 hours via designated software. Failure = $350 penalty per dispatch.

Termination: Going Yard may terminate with 1 day notice. Subcontractor requires 30 days written notice.

Contractor Responsibilities

Subcontractor is responsible for all work expenses including vehicles, equipment, materials, maintenance, insurance, staff wages, and communications. Subcontractor is an independent contractor, not an employee. Going Yard will not withhold CPP, EI, or payroll taxes.

Standards of Performance

Subcontractor must log all services (including photos, ice melt/gravel weights, and scraping hours) within 24 hours. Defective work must be corrected within 8 hours of notice. If Going Yard rectifies defective work, the Subcontractor will be charged the full cost plus a 40% supervision fee. Subcontractor agrees to wear provided Going Yard PPE/uniforms while on site. Subcontractor ensures no injuries or property damage from activities and no liens registered against the property.

Indemnity & Insurance

Subcontractor indemnifies Going Yard against all claims arising from this agreement and maintains $2,000,000 commercial general liability insurance with Going Yard as Additional Insured.

Confidentiality & Non-Compete

Subcontractor shall not disclose agreement terms, client lists, or property identities. Subcontractor shall not solicit Going Yard customers for 4 years after termination.

Governing Law

This agreement is governed by the laws of Alberta, Canada.
